Paradygm Non-Disclosure Agreement
To further and to enhance our on-going business relationship, we are each willing to disclose to the other certain Confidential Information which we agree will be governed by the following terms and conditions.
1. By way of definition, the term, "Confidential Information" includes all financial, product and technical information, marketing strategies, trade secrets and other business information related in any manner whatsoever to your business, products and operations, both current and proposed, that is provided to us as part of our on-going business relationship.
2. We acknowledge that we will be exposed to certain Confidential Information belonging to each other. We agree that the Confidential Information will only be used to further and to enhance our business relationship.
3. Except as permitted in this Agreement, we shall not, directly or indirectly, disclose Confidential Information to or for the benefit of anyone without your prior written permission, except where:
(a) the information becomes publicly known through no act or omission of ours after you disclose the information to us; or
(b) we can demonstrate that the information was independently known to us at the time that you disclosed it to us; or
(c) we can demonstrate that the information was independently developed by us without breaching this Agreement; or
(c) we can demonstrate that, after you disclosed the information to us, it was received from another party who did not require us to hold the information in confidence and who did not, to our knowledge, acquire it directly or indirectly from you under an obligation of confidence.
4. We will use the same degree of care to preserve the confidentiality of your Confidential Information as we exercise in connection with our own information of similar character, value or confidentiality, which will be at least reasonable according to industry standards.
5. Any Confidential Information that you disclose to us will be disclosed only to those of our employees, agents or representatives who must know such information, and only to the extent necessary for such person to contribute toward the furtherance or enhancement of our mutual business relationship.
6. We will not copy or reproduce the Confidential Information without your express written permission. All copies or reproductions made by us must contain the same confidential or copyright notices which appear on the originals of such Confidential Information or such notices as you may inform us of from time to time, in writing.
7. At your request, upon termination of our business relationship or at any other time, we will immediately return or destroy all Confidential Information in any form, which is in our possession or control.
8. We acknowledge that the disclosure or use of Confidential Information contrary to this Agreement will cause you irreparable harm, for which damages may not be adequate compensation and acknowledge that, in addition to any other remedies that may be available to you at law, you may apply for equitable relief, including an injunction in order to enjoin any breach or threatened breach of the provisions of this Agreement.
9. Your Confidential Information is your sole and exclusive worldwide property and we hold it in trust for you.
10. This Agreement shall remain in full force for a period of five (5) years after the termination of our business relationship. There is no limitation on the obligation to maintain the confidentiality of personal information.
11. If any term or part of any term in this Agreement is held by a court of law to be unenforceable, invalid or illegal, such term or part shall be severed and deemed to be deleted from this Agreement and the remaining terms or parts shall remain valid and binding.
12. This Agreement binds us and our heirs, executors, administrators and other legal representatives. This Agreement and all benefits arising under it shall accrue to you and your successors and assigns.
13. No term of this Agreement can be amended, or waived except by a further written agreement between us.
14. This Agreement shall be governed by, interpreted and construed in accordance with the laws of United States and Canada.
15. We acknowledge having read and understood all provisions of this Agreement.
16. We acknowledge that we have agreed that this Agreement be drawn up in the English language only.
Privacy Policy
Paradygm (the “Company”) is committed to maintaining robust privacy protections for its users. Our Privacy Policy (“Privacy Policy”) is designed to help you understand how we collect, use and safeguard the information you provide to us and to assist you in making informed decisions when using our Service.

The terms “we,” “us,” and “our” refer to the Company.
“You” refers to you, as a user of our Site or our Service.
By accessing our Site or our Service, you accept our Privacy Policy and you consent to our collection, storage, use and disclosure of your Personal Information as described in this Privacy Policy.

V. LINKS TO OTHER WEBSITES
As part of the Service, we may provide links to or compatibility with other websites or applications. However, we are not responsible for the privacy practices employed by those websites or the information or content they contain. This Privacy Policy applies solely to information collected by us through the Site and the Service. Therefore, this Privacy Policy does not apply to your use of a third party website accessed by selecting a link on our Site or via our Service. To the extent that you access or use the Service through or on another website or application, then the privacy policy of that other website or application will apply to your access or use of that site or application.
